1. General Conditions

**Acceptance of Terms:** By accessing and using the services of Dezignloop, you agree to be bound by these Terms and Conditions. If you disagree with any part of the terms, then you may not access the service.

**Service Scope:** Dezignloop provides professional digital services including, but not limited to, website design, mobile app development, branding, and digital marketing. The specific deliverables and scope will be defined in a separate Statement of Work (SOW).

2. Payment and Billing

**Pricing:** All prices for services are clearly stated in the SOW or proposal provided to the client. Dezignloop reserves the right to change prices for services at any time, but price changes will not affect active, agreed-upon projects.

**Payment Terms:** A deposit (usually 50%) is required to commence work. Subsequent payments will be scheduled based on project milestones as outlined in the SOW. Final payment is due upon project completion and before final deployment.

**Late Payments:** Dezignloop reserves the right to suspend work or withhold project files and deployment until all outstanding payments are settled.

3. Intellectual Property and Ownership

**Client Ownership:** Upon **full payment** of the agreed-upon fees, the client shall own the final deliverables of the project, including all custom graphics, content, and source code.

**Dezignloop Rights:** Dezignloop retains the right to use non-client-specific tools, frameworks, and coding techniques developed during the project for other clients. Dezignloop also reserves the right to display the completed project in its portfolio and marketing materials.

4. Project Cancellation and Refunds

**Cancellation by Client:** If the client cancels the project after work has commenced, the initial deposit is non-refundable. The client will be invoiced for all work completed beyond the scope covered by the deposit up to the point of cancellation.

**Refund Policy:** Refunds are only considered if Dezignloop fails to deliver the scope of work outlined in the SOW. Dissatisfaction with design choices or minor functional issues will be addressed through the revision process, not a refund.

5. Governing Law and Disputes

These Terms and Conditions shall be governed by and construed in accordance with the laws of **Unites States**. Any dispute arising under these terms shall be subject to the exclusive jurisdiction of the courts of **UNited States**.
